THE USE OF ANY IMAGE OR SERVICE FURNISHED BY CPS PHOTOGRAPHY CONSTITUTES AN ACCEPTANCE OF THE FOLLOWING TERMS AND CONDITIONS:

Definitions - "Photograph(s)", "Images" or "Photographic Images" refers to any print, transparency, negative, electronic image, etc. that is created by CPS PHOTOGRAPHY. Unless agreed upon in writing, CPS PHOTOGRAPHY supplies only one image per shot or setup where applicable and for the ONE-TIME USE DESCRIBED.

Grant of License/Copyright Notice - CPS PHOTOGRAPHY retains full and exclusive copyright to all images supplied and/or produced. All rights are reserved to use any image for our own display, publication or self-promotional purposes. Unless otherwise stated specifically in writing, no image or collection furnished by CPS Photography is to be considered a Work For Hire transfer of rights or offered for use in Public Domain. The purchase of a print, slide, transparency, etc. does not constitute the intended or implied transfer of a copyright. All licenses and reproduction rights granted for the use of Copyright are conditioned on both payment in full and use of proper copyright notice by the Client. Unless otherwise stipulated in writing, duration of grant of license is one year from invoice date and limited to use in the United States of America.

Reproduction Rights - Images supplied for reproduction are specifically stated as such. Unless otherwise stated in writing, CPS PHOTOGRAPHY supplies one-time reproduction rights to all images supplied for the purposes outlined in this invoice/ agreement. The purchase of multiple copies of a print, slide, transparency, etc. from a single image does not constitute the transfer of additional reproduction rights. CPS PHOTOGRAPHY RESERVES THE RIGHT TO MAKE ANY AND ALL PHOTOGRAPHIC REPRINTS, TRANSPARENCIES, ETC FROM ANY IMAGE IT SUPPLIES. The unauthorized reproduction of any image is strictly prohibited.

Usage Rights - Images are supplied for the specific use defined. Pricing is based on usage. Rights of reproduction are transferred for one-time usage purposes. All usage rights are specifically outlined in writing. No usage rights are implied. Additional usage must be negotiated in advance. Additional usage of any image can or will incur additional cost. The purchase of multiple copies of a print, slide, transparency, etc. from a single image does not constitute the transfer of additional usage rights. Any attempt to deny or usurp copyright through the alteration or manipulation of any image, including but not limited to retouching, cropping, digital enhancement, altering or removing watermarks, etc. is strictly prohibited under any and all circumstances. The unauthorized usage of any image is strictly prohibited.

Presentation Images - Presentation is defined as the viewing, displaying or presentation of an image. Images supplied for presentation carry no rights to copy or reproduce in any way or form.

Electronic Reproduction - Photograph(s) licensed for reproduction regarding these works may be scanned and digitized for pre-press purposes when stated in writing. Any alteration of, manipulation of or derivation from the photograph(s) furnished must be specifically authorized in writing by CPS PHOTOGRAPHY. No image whether in tangible or digitized form may be archived by any party for a period of more than sixty (60) days after publication or termination of the license period. No image may be placed in any electronic cataloging, delivery service, web site or broadcast without the expressed written permission of CPS PHOTOGRAPHY.

Return of Photographs/Fees - Any original photograph not belonging to the client must be returned to CPS PHOTOGRAPHY unaltered and undamaged within a period of 90 days of invoice. Any original photograph not returned undamaged or unaltered within the specified time, must be paid for by the Client at a rate of $1000.00 per original for each occurrence. The unauthorized use/ reproduction of any image must be compensated for by the Client plus all applicable fees & damages.

All licenses and reproduction rights granted for the use of copyright are conditioned on both payment in full, prior to any reproduction or other use, and use of proper copyright notice by the Client. No license to use any images produced hereunder shall be conveyed until the invoice is paid in full.
